TERMS AND CONDITIONS OF SERVICE

1. SERVICE OVERVIEW

1.1 Service Definition

Tempest Rapid+ (“Service”) provides precision CNC machining services for prototype parts with guaranteed turnaround times. The Service operates under three distinct service tiers with specific delivery commitments.

1.2 Service Tiers

Same-Day Express Service 

  • File submission deadline: 9:00 AM EST 

  • Delivery commitment: Ships by 4:30 PM EST same business day 

  • Rate: $500 per hour plus materials and shipping 

  • Minimum order: $500

24-Hour Rush Service 

  • File submission deadline: 4:00 PM EST 

  • Delivery commitment: Ships by 4:30 PM EST next business day 

  • Rate: $375 per hour plus materials and shipping 

  • Minimum order: $375

48-Hour Standard Express 

  • Timeline: Ships within 48 business hours of quote acceptance 

  • Rate: $250 per hour plus materials and shipping 

  • Minimum order: $250

1.3 Business Hours

All delivery commitments are based on business days (Monday-Friday, 8:00 AM - 4:30 PM EST, excluding statutory holidays).

2. SCOPE OF WORK AND LIMITATIONS

2.1 Included Services

  • CNC machining from sheet materials

  • Single-setup operations only

  • Standard tolerances: ±0.010” (±0.005” available upon request)

  • Quality inspection and dimensional verification

  • Photo documentation

  • Professional packaging

  • Certificate of inspection

2.2 Explicit Exclusions

The following services are NOT included in Tempest Rapid+ and must be processed through our standard manufacturing service:

  • Multi-setup operations requiring part flipping or re-fixturing

  • Custom materials not in our stock inventory

  • Secondary finishing operations (anodizing, painting, powder coating, etc.)

  • Assembly of multiple components

  • Parts requiring tolerances tighter than ±0.005”

  • Production runs exceeding 10 pieces

  • Weekend or holiday delivery

2.3 Material Specifications

Stock Materials Only: Service is limited to materials maintained in our stock inventory including: 

  • Plastic sheets (Acrylic, ABS, Polycarbonate, PVC) 

  • Aluminum composite materials 

  • Building materials (Plywood, MDF)

Size Limitations:

  • Maximum sheet size: 48” × 48” 

  • Material thickness range: 1/8” (0.125”) to 3/4” (0.75”)

Custom Materials: Projects requiring materials outside our stock inventory will be transferred to our standard manufacturing service with standard lead times.

3. QUOTATION AND ORDER PROCESS

3.1 File Submission

Accepted Formats: .step, .iges, .dwg, .dxf, .pdf (dimensioned drawings), .ai

Required Information: 

  • Complete dimensional specifications 

  • Material thickness requirements 

  • Tolerance specifications (if different from standard) 

  • Quantity required 

  • Any special instructions 

  • Preferred service tier

3.2 Quote Response Times

  • Same-Day Express: Within 1 hour 

  • 24-Hour Rush: Within 2 hours 

  • 48-Hour Standard: Within 4 hours

3.3 Quote Acceptance

Quotes are valid for 48 hours from issuance. Client must provide written acceptance (email confirmation) and valid credit card information to proceed with production.

4. PAYMENT TERMS

4.1 Payment Method

Payment is processed via credit card only. Alternative payment methods are not available for rapid prototyping services.

4.2 Payment Timing

Pre-Authorization: Credit card information is collected at quote acceptance but NO CHARGE is processed until job completion.

Final Charging: Credit card is charged only when: 

  1.  Part has been completed and inspected 

  2. Photo documentation has been taken 

  3. Certificate of inspection has been issued 

  4. Client has received email notification with documentation 

  5. Part is packaged and ready for shipment

4.3 Pricing Structure

Labor Charges: 

  • Calculated at hourly rates specified for each service tier 

  • Includes setup, programming, machining, and quality control time

Material Charges: 

  • Charged separately based on actual material consumption 

  • Calculated per square inch of material used

Shipping Charges: 

  • Express courier service charges apply to all Rapid+ orders 

  • Charged separately based on destination and service level selected

5. QUALITY STANDARDS AND LIABILITY

5.1 Standard Tolerance Liability (±0.010”)

For parts manufactured to standard tolerance specifications: 

  • Quality Guarantee: Parts meeting dimensional specifications within ±0.010” 

  • Remake Policy: Free remake provided if part fails to meet standard tolerances due to manufacturing error 

  • Maximum Liability: Limited to the cost of labor charges for the specific part


5.2 Precision Tolerance Liability (±0.005”)

For parts manufactured to precision tolerance specifications: 

  • Quality Guarantee: Parts meeting dimensional specifications within ±0.005”

  • Remake Policy: Free remake provided if part fails to meet precision tolerances due to manufacturing error

  • Maximum Liability: Limited to the cost of labor charges plus actual material costs for the specific part

  • Additional Requirements: Precision tolerance work may require additional inspection time and documentation

5.3 Delivery Time Guarantee

On-Time Delivery Commitment: 

  • Same-Day Express: 90% on-time performance target 

  • 24-Hour Rush: 95% on-time performance target 

  • 48-Hour Standard: 98% on-time performance target

Late Delivery Remedy: If delivery deadline is missed due to manufacturing delays within Tempest Industries’ control: 

  • Client receives 25% discount on labor charges for the affected job 

  • Expedited shipping at no additional charge 

  • Priority scheduling for any required remake

6. RISK ALLOCATION AND FORCE MAJEURE

6.1 Equipment and Operational Risks

Tempest Industries maintains backup procedures for equipment failures but is not liable for delays caused by: 

  • CNC equipment breakdown beyond reasonable maintenance schedules 

  • Power outages exceeding 4 hours duration 

  • Material defects discovered during machining 

  • File format or specification errors requiring clarification

6.2 Shipping and Courier Delays

Courier Service Delays: Tempest Industries is not responsible for delays caused by courier services after parts have been shipped, including but not limited to: 

  • Weather-related shipping delays 

  • Courier vehicle breakdowns or routing issues 

  • Customs delays (for international shipments) 

  • Delivery address accessibility issues 

  • Recipient unavailability for delivery

Shipping Documentation: Tempest Industries provides tracking information immediately upon shipment. Any shipping claims must be directed to the courier service.

6.3 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond reasonable control, including natural disasters, government actions, labor disputes, or supplier failures.

7. INTELLECTUAL PROPERTY AND CONFIDENTIALITY

7.1 Client Intellectual Property

Ownership: Client retains all intellectual property rights to designs, specifications, and technical information provided.

Confidentiality: Tempest Industries agrees to maintain confidentiality of all client design information and technical specifications.

Non-Disclosure: Tempest Industries will not disclose client design information to third parties without written consent.

7.2 Media Rights and Documentation

Photography and Video Rights: Tempest Industries expressly reserves the right to photograph and video record all manufacturing processes and completed parts for the following purposes:

Quality Control Documentation: 

  • Process verification and quality control records 

  • Inspection documentation and certification 

  • Internal training and process improvement

Marketing and Media Use: 

  • Social media content and promotion 

  • Website portfolio and capability demonstrations 

  • Marketing materials and advertisements 

  • Trade publication articles and case studies 

  • Industry presentations and demonstrations

Public Posting Rights: Tempest Industries reserves the right to post images, videos, and project details for public viewing across all media platforms unless explicitly prohibited in writing by the client.

7.3 Media Opt-Out Procedure

Written Notice Required: Clients who wish to prohibit media use must provide explicit written notice stating “NO MEDIA USE AUTHORIZED” at the time of quote acceptance.

Scope of Opt-Out: Written opt-out applies only to marketing and media use. Quality control documentation and internal process recording remain authorized for operational purposes.

No Additional Charges: No additional charges apply for media opt-out requests.

8. LIMITATION OF LIABILITY

8.1 Maximum Liability Cap

Tempest Industries’ total liability for any claim related to Rapid+ services is limited to the labor charges paid for the specific part or project in question.


8.2 Consequential Damages Exclusion

Tempest Industries shall not be liable for: 

  • Lost profits or business opportunities 

  • Consequential or indirect damages 

  • Third-party claims or damages 

  • Delays in client’s product development or launch schedules 

  • Market timing or competitive disadvantages

8.3 Client Responsibility

Client is responsible for: 

  • Accuracy of all design files and specifications provided 

  • Suitability of parts for intended application 

  • Compliance with applicable regulations and standards 

  • Proper handling and storage of completed parts

9. DISPUTE RESOLUTION

9.1 Governing Law

These terms and conditions are governed by the laws of the Province of Ontario, Canada.

9.2 Jurisdiction

Any disputes arising from these terms shall be resolved in the courts of Ontario, with venue in Sarnia-Lambton County where practical.

9.3 Alternative Dispute Resolution

Prior to formal legal action, parties agree to attempt resolution through: 

  1. Direct negotiation between principals 

  2. Mediation through a mutually agreed mediator 

  3. Binding arbitration if mediation fails

10. GENERAL TERMS

10.1 Entire Agreement

These terms constitute the entire agreement between parties for rapid prototyping services and supersede all prior negotiations or agreements.

10.2 Modifications

Modifications to these terms must be made in writing and signed by both parties.

10.3 Severability

If any provision is deemed unenforceable, the remainder of the agreement remains in full effect.

10.4 Term and Termination

These terms apply to each individual project order. Either party may terminate future orders with written notice, but existing orders remain binding.

11. CLIENT ACKNOWLEDGMENT AND ACCEPTANCE

By submitting files and accepting quotes for Tempest Rapid Prototyping services, the client acknowledges:

  • Full understanding of service limitations and exclusions

  • Agreement to payment terms and credit card processing timing

  • Consent to photography and media use rights (unless written opt-out provided)

  • Understanding of quality standards and liability limitations

  • Acceptance of delivery time commitments and late delivery remedies
